Proposals, Quotations & Project Scope
Proposals and quotations are prepared from the information available at the time of issue and remain valid only for the period stated in the document.
- Work begins after written approval, required advance payment, and receipt of requested materials.
- Deliverables not expressly listed are outside scope and may require a separate estimate.
- Third-party fees, taxes, licenses, hosting, travel, and media spend are excluded unless specifically included.
- Assumptions, dependencies, milestones, review rounds, and acceptance criteria form part of the agreed scope.
- A client purchase order does not override these terms unless we expressly agree in writing.
Client Responsibilities
Timely collaboration is essential to successful delivery. The client agrees to:
- Provide accurate requirements, access, credentials, brand assets, content, and approvals on time.
- Nominate an authorized decision-maker and consolidate feedback from all stakeholders.
- Review deliverables within the agreed review window and clearly identify requested changes.
- Ensure supplied content, data, trademarks, and materials are lawful and properly licensed.
- Maintain secure backups and appropriate access controls for client-owned systems and accounts.
- Pay invoices in accordance with the approved commercial terms.
Delays caused by missing information, access, content, approvals, or feedback may move delivery dates and may incur additional cost where resources must be rescheduled.
Project Delivery & Timelines
Project schedules are good-faith estimates based on the agreed scope, resource plan, dependencies, and the client’s timely participation.
We are not responsible for delays caused by force majeure, third-party providers, platform approvals, service outages, or circumstances beyond reasonable control.
- Milestones may be adjusted when requirements change or dependencies are delayed.
- Client review periods are part of the project schedule; late feedback shifts subsequent dates.
- Beta, staging, or preview releases are provided for review and are not intended for public or production use.
- A deliverable is considered accepted when approved in writing, used in production, or not disputed with specific reasons within the stated review period.
Payment Terms
Fees and payment milestones are stated in the applicable proposal, quotation, invoice, or agreement. Unless otherwise agreed:
- Advance and milestone payments are non-refundable once the relevant work has started.
- Invoices are payable by the due date and without deduction, set-off, or withholding except where required by law.
- Late payment may pause work, access, support, delivery, deployment, or transfer of project files.
- Taxes, payment processor charges, currency conversion costs, and bank fees are the client’s responsibility.
- Ownership and final deliverables transfer only after all outstanding amounts are paid in full.
Refund & Cancellation
A cancellation request must be submitted in writing. Refund eligibility depends on the engagement stage, work completed, reserved capacity, and non-recoverable expenses.
- Discovery, consulting, design, development, setup, and completed milestone fees are non-refundable.
- Third-party purchases and committed costs cannot be refunded once ordered or activated.
- If a project is paused or cancelled, the client must pay for work completed through the effective cancellation date.
- Unused prepaid support may be credited only where the signed agreement expressly allows it.
No refund is available for completed, approved, deployed, downloaded, transferred, or actively used deliverables, except where required by applicable law.
Change Requests
A change request is any instruction that alters approved functionality, content volume, design direction, integration, deliverable, schedule, or acceptance criteria.
- We will assess the effect on effort, fees, dependencies, and delivery dates.
- Material changes require written approval of a revised estimate or statement of work before implementation.
- Minor changes may be completed from an agreed support or retainer allowance.
- Work may pause while scope, priority, or commercial impact is being clarified.
Intellectual Property
Client Materials
The client retains ownership of materials, data, trademarks, content, and systems supplied to us and grants Shaaneiol Tech a limited license to use them solely to perform the services.
Project Deliverables
Subject to full payment, the client receives the rights expressly identified in the applicable agreement. Drafts, rejected concepts, working files, and unused alternatives remain ours unless stated otherwise.
Background Technology
We retain ownership of pre-existing know-how, reusable methods, frameworks, libraries, templates, tools, generic components, and improvements that do not contain the client’s confidential information.
Portfolio Rights
Unless restricted in writing, we may identify the client and display non-confidential completed work in our portfolio, proposals, awards, and case studies after public launch.
Third-Party Tools & Services
Projects may rely on third-party products such as hosting providers, payment gateways, cloud platforms, analytics, APIs, fonts, plugins, app stores, AI services, or software libraries.
- Third-party services are governed by their own terms, privacy notices, availability, pricing, and technical limits.
- The client is responsible for ongoing subscriptions, account ownership, and compliance with provider requirements unless agreed otherwise.
- We do not control provider outages, policy changes, deprecations, security events, approval decisions, or price increases.
- Additional work caused by third-party changes may be quoted separately.
Open Source & Third-Party Licenses
Deliverables may contain open-source software or other licensed components selected to improve quality, interoperability, security, or delivery speed.
- Each component remains subject to its applicable license and attribution requirements.
- Open-source and third-party components are not assigned to the client as proprietary source code.
- The client agrees to preserve required copyright, attribution, and license notices.
- Where a specific commercial license is required, the client must purchase and maintain it.
Website Content Accuracy
We aim to keep website information useful and current, but content is provided for general information only and may be updated without notice.
- Service descriptions, capabilities, team information, availability, timelines, and prices are illustrative unless confirmed in writing.
- Case studies and results are context-specific and do not guarantee the same outcome for another client.
- We do not warrant that every page will always be complete, error-free, or uninterrupted.
Confidentiality
Each party may receive non-public business, commercial, financial, technical, product, customer, security, or operational information from the other party.
- Confidential information will be used only for the engagement and protected with reasonable care.
- Access may be provided to personnel and contractors who need it and are subject to confidentiality obligations.
- Confidentiality does not apply to information already public, independently developed, lawfully received from another source, or required to be disclosed by law.
- On request, confidential materials will be returned or securely deleted where reasonably practicable, subject to legal and backup retention requirements.
Specific confidentiality or non-disclosure agreements signed by both parties take priority where their terms conflict with this section.
Data Protection & Privacy
We process personal information in accordance with applicable data protection law and our Privacy Policy. The nature of processing depends on the website feature or service used.
- The client is responsible for having a lawful basis to provide personal data and for issuing required notices to data subjects.
- We use reasonable organizational and technical measures appropriate to the type of data and service.
- Where we process personal data on the client’s behalf, additional data processing terms may apply.
- Data may be handled by approved sub-processors and cloud providers necessary to deliver the service.
Security
We follow reasonable development and operational practices intended to reduce security risk, but no internet-connected system can be guaranteed completely secure.
- Clients must protect credentials, use multi-factor authentication where available, and promptly revoke unnecessary access.
- Security testing covers only the environments and scope expressly agreed for the engagement.
- The client must promptly install critical updates and notify us of suspected vulnerabilities or unauthorized activity.
- We may suspend access or deployment where a credible security threat exists.
Support & Maintenance
Post-launch support is provided only when included in the proposal, warranty period, maintenance plan, retainer, or separate support agreement.
- Support hours, response targets, channels, and included effort are defined in the applicable service plan.
- Maintenance covers agreed updates and incident response; it does not automatically include redesigns, new features, or third-party migration.
- Unused monthly hours do not roll over unless expressly stated.
- Urgent, after-hours, or out-of-scope work may be billed separately at the applicable rate.
- Support targets are response objectives, not guaranteed resolution times, unless a signed SLA states otherwise.
Warranty Disclaimer
To the maximum extent permitted by law, the website and services are provided on an “as is” and “as available” basis, subject to the express commitments in an applicable signed agreement.
- We do not guarantee uninterrupted operation, universal compatibility, specific commercial results, traffic, rankings, conversions, revenue, or funding outcomes.
- We are not responsible for errors caused by client changes, unsupported environments, outdated third-party software, misuse, or unauthorized access.
- Any limited defect-correction period applies only to reproducible issues in the approved scope and excludes new requirements.
Limitation of Liability
To the maximum extent permitted by applicable law, neither party is liable for indirect, incidental, special, exemplary, or consequential loss, including loss of profit, revenue, goodwill, opportunity, data, or business interruption.
Each party must take reasonable steps to mitigate loss and notify the other promptly after becoming aware of a potential claim.
- Our aggregate liability arising from an engagement will not exceed the fees paid for the specific service giving rise to the claim during the preceding six months.
- We are not liable for third-party systems, client-supplied materials, unauthorized modifications, or failure to follow documented instructions.
- Nothing in these terms excludes liability that cannot lawfully be excluded or limited.
Portfolio & Case Study Usage
Unless prohibited by a written confidentiality obligation, Shaaneiol Tech may reference publicly launched work to demonstrate experience and capability.
- We may display the client’s name, logo, public screenshots, project category, and a factual summary of services provided.
- Non-public metrics, confidential materials, and personal information will not be disclosed without permission.
- The client may request reasonable corrections to factual information or notify us of a legitimate sensitivity.
Internship, Career & Job Application Terms
Information submitted for employment, internship, contractor, or talent opportunities is used to assess suitability, communicate about roles, and maintain recruitment records.
- Applicants must provide accurate information and must not submit confidential information belonging to another employer.
- Submitting an application does not guarantee an interview, placement, offer, or response.
- Candidate information may be shared with relevant hiring personnel and service providers and retained as permitted by law.
- We may verify qualifications, references, identity, or work authorization where appropriate and lawful.
Links to Other Websites
Our website may contain links to third-party websites, tools, resources, or social platforms for convenience and context.
- A link does not imply endorsement, control, partnership, or responsibility for third-party content.
- Third-party websites have their own terms, privacy practices, security, and accessibility standards.
- You access external services at your own discretion and risk.
Termination & Suspension of Services
Either party may terminate an engagement as allowed by the applicable proposal or agreement. We may suspend or terminate services where:
- Invoices remain unpaid after notice or agreed payment commitments are not met.
- The client materially breaches these terms and does not remedy the breach within a reasonable period.
- Continuing work would create a legal, regulatory, security, ethical, or reputational risk.
- Required cooperation, access, decisions, or materials are not provided for an extended period.
Effect of Termination
All fees for work completed and committed costs become immediately due. On full payment, we will provide the completed deliverables identified for handover, subject to applicable license and retention obligations.
Governing Law & Jurisdiction
These Terms are governed by the laws applicable to the contracting Shaaneiol Tech entity, without regard to conflict-of-law principles. The parties will first attempt to resolve any dispute through good-faith discussion.
If a dispute cannot be resolved informally, the courts identified in the applicable agreement—or, where none is stated, the courts where the contracting Shaaneiol Tech entity is registered—will have jurisdiction, subject to any mandatory rights under applicable law.
If any provision is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect.

- The updated version will be posted on this page with a revised “Last updated” date.
- Material changes may also be communicated through the website, email, or an active client channel.
